An Independent Evaluator Report is required under the Administration (Restrictions on Disposal etc. to Connected Persons) Regulations 2021. If a company proposes to sell assets to a connected party within 8 weeks of administration, the purchaser must obtain either creditor approval or an Independent Evaluator Report. In practice, most transactions proceed using the evaluator route. ### The report provides an independent opinion on: - whether the consideration is reasonable; and - whether the grounds for the disposal are reasonable. ## When is an evaluator report required? You will typically need a report where: - directors are buying back the business via a newco; - a connected party is acquiring assets from administration; - a pre-pack transaction is being executed quickly; or - the administrator requires an independent opinion to proceed.
